Terms & Conditions

1 The parties

These Terms & Conditions govern the relationship between VIZNEZ Conexiones Empresariales S.A. de C.V. (hereinafter "Viznez"), with address in Monterrey, Nuevo León, Mexico, and any natural or legal person (hereinafter "the User") who accesses, registers or uses the VIZNEZ platform available at viznez.com.

By completing the registration process and checking the acceptance box, the User declares that they have read, understood and fully accepted these Terms & Conditions, as well as the Privacy Policy of VIZNEZ.

2 Purpose of the service

VIZNEZ is a B2B (Business to Business) business directory platform that allows registered companies to create a public profile with contact information by area, and other companies to find them by searching by industry, product, service or region.

The service's sole purpose is to facilitate direct connection between companies. Viznez does not intervene, arbitrate, guarantee or take responsibility for results arising from such connection.

3 Registration and accuracy of information

To use the platform, the User must register by providing accurate, complete and up-to-date information. By registering, the User declares and warrants that:

• They are an active representative, employee or collaborator of the company being registered and have express authorization to do so.
• All information provided about the company and its contacts is truthful, accurate and up-to-date.
• They have the consent of the individuals whose data they register (name, position, email, phone, LinkedIn) to be published on the platform.
• They commit to keeping updated their profile information and to notify any relevant changes as soon as possible.

Failure to comply with any of the above statements may result in the immediate suspension of the profile, without prejudice to any legal action that may be taken.

4 Identity fraud and fraudulent use

It is expressly prohibited to register a profile impersonating a company or person without a verifiable relationship.

• Creating a company profile without its authorization.
• Registering contact details of individuals who have not given their consent.
• Publishing false information about a company's products, services or capabilities.
• Impersonating directors, managers or any collaborator of another organization.
• Using another company's profile to divert business opportunities.

In the event of a fraudulent profile being detected or reported, VIZNEZ reserves the right to act accordingly.VIZNEZ reserves the right to:

• Immediately suspend or delete the profile involved, without prior notice or right to a refund.
• Share and provide all available information about the offending user — including registration data, IP address, email and any other technical data — to the affected company and/or the competent authorities, so that they can take the appropriate legal action.
• Actively cooperate with legal investigations initiated by affected companies or authorities.

The foregoing is without prejudice to any civil and criminal liabilities that the offender may incur under applicable Mexican law, including but not limited to the Federal Criminal Code (fraud, identity theft) and the Federal Law on Protection of Personal Data Held by Private Parties.

5 Acceptable use of the platform

The User agrees to use the platform only for lawful purposes and in accordance with these Terms. The following is prohibited:

• Sending unsolicited bulk communications (spam) through contact details obtained on the platform.
• Using the platform for unfair competitive intelligence, harassment, extortion or any unlawful activity.
• Attempting to access other users' accounts or VIZNEZ systems without authorization.
• Reproducing, copying or redistributing the directory or any part of its content without the express authorization of VIZNEZ.
• Publishing offensive, discriminatory, defamatory content or content that violates third-party rights.

VIZNEZ reserves the right to monitor the use of the platform to detect conduct contrary to these Terms.

6 Intellectual property

All intellectual property rights over the Viznez B2B platform are the exclusive property of VIZNEZ.

The User retains ownership of the information published in their profile, but grants VIZNEZ a license to display it within the platform.

7 Limitation of liability

VIZNEZ does not guarantee:

• The truthfulness, accuracy or currency of information published by users.
• Specific results derived from the use of the platform.
• Uninterrupted availability of the service.
• That published contacts correspond to individuals currently associated with the company.

In no event shall VIZNEZ be liable for any direct, indirect, incidental or consequential damages arising from the use of or inability to use the platform, including loss of business or data.

8 Account suspension and cancellation

VIZNEZ may suspend or cancel a User's access, with or without prior notice, in the following cases:

• Breach of any provision of these Terms.
• Detection of false or fraudulent information in the profile.
• Substantiated complaint from an affected third party.
• Failure to pay the current subscription.
• Profile inactivity for a period longer than 6 months.

The User may request the cancellation of their account at any time by sending an email to info@viznez.com. Cancellation does not give rise to a right to a refund of payments made.

9 Modifications to the Terms

VIZNEZ reserves the right to modify these Terms & Conditions at any time. Modifications will be notified via:

• A visible notice on the platform upon login.
• Email to the address registered in the account.

Continued use of the platform after modifications constitutes acceptance of them.

10 Jurisdiction and applicable law

These Terms & Conditions are governed by the laws of the United Mexican States. For any dispute arising from the interpretation or performance of these Terms, the parties expressly submit to the jurisdiction of the competent courts of the city of Monterrey, Nuevo León, waiving any other jurisdiction that may correspond to them by reason of their current or future domicile.
